 About your key responsibilities and impact:

  • Reviewing and drafting of corporate, finance, and commercial agreements including but not limited to SPA, SHA, option agreements, loan agreements, pledge agreements, security agreements, etc;
  • Working with the Registrars of Companies;
  • Undertaking and overseeing the formation, administration and dissolution of companies registered in different jurisdictions;
  • Drafting and reviewing Memorandum and Articles of Association and effecting amendments on them;
  • Reviewing and drafting of directors and shareholders minutes and resolutions, Power of Attorneys, etc.;
  • Performing legal research and preparing relevant reports;
  • Providing legal opinions on corporate matters;
  • Overseeing and enforcing compliance with corporate legislation and requirements in various jurisdictions;
  • Managing and controlling external legal services providers;
  • Reporting and receiving instructions from the manager of the department. 

Essential professional experience:

  • 5+ years experience in the field of corporate law;
  • Master of Laws education (LL.M is an advantage);
  • Good project management skills;
  • Strong analytical skills;
  • Advanced English level.
